Terms of Service
Effective date: to be set at publication — draft prepared for review (September 2026). Operator: Tellco Voice And Data Inc. (“Tellco Labs”).
1. Overview
These Terms of Service (“Terms”) govern your use of the Talaria service (“Talaria,” “the service”), operated by Tellco Voice And Data Inc. (“Tellco Labs,” “we,” “us”). By creating an account or using the service, you agree to these Terms. If you are using Talaria on behalf of an organization, you agree to these Terms on that organization’s behalf.
Please read these Terms carefully, along with our Privacy Policy, which explains how we handle your data.
2. The Service
Talaria is an LLM API gateway and model-routing platform. It accepts requests through OpenAI- and Anthropic-compatible APIs and routes each request to a suitable model — from hosted model providers, or from model providers and endpoints you bring yourself (“Bring Your Own Model,” or “BYOM”). The service includes a dashboard for managing API keys, organizations, budgets, usage analytics, and billing.
- Hosted service. When you use the hosted version, your requests are processed on Tellco-operated infrastructure and forwarded to the model provider selected for each request.
- Self-hosted deployment. Talaria may also be deployed on your own infrastructure. The self-hosted software is provided under these Terms and the usage limits of your plan.
3. Accounts & API Keys
To use the service you create an account with a username and password, and an organization is created for you. You are responsible for:
- keeping your password and API keys confidential;
- all activity that happens under your account and organization; and
- ensuring the information you provide during registration is accurate.
API keys are shown to you once at creation. If you lose a key, it cannot be recovered — you must create a new one and revoke the old one. You must notify us promptly at hello@tellcolabs.com if you believe your account has been compromised.
4. Acceptable Use
You agree not to misuse the service. Prohibited conduct includes:
- using the service for any unlawful purpose, or in a way that violates the rights of others;
- attempting to breach, probe, or circumvent the security, authentication, or rate limits of the service;
- misusing third-party models or providers accessed through the service, including using them in ways that violate those providers’ own terms of service;
- reselling or sublicensing access to the service as a competing offering without our written consent;
- attempting to access another organization’s data, keys, or configuration;
- using the service to generate or distribute unlawful, malicious, or harmful content.
We may suspend or terminate access if we reasonably believe these Terms have been violated. Where possible we will give you notice, but we may act immediately to protect the service or other customers.
5. Third-Party Models (BYOM)
BYOM lets you register your own model endpoints and provider API keys. When you use BYOM:
- your requests are sent to the third-party provider or endpoint you configured;
- that provider’s own terms and privacy practices apply to your use of their service — we encourage you to review them;
- you are responsible for having the right to use the model keys and endpoints you provide, and for any costs those providers charge you directly; and
- we are not responsible for the availability, quality, or output of third-party models.
6. Plans & Payment
Talaria offers tiered plans: Free, Starter, Pro, Business, and Enterprise. Prices are quoted in Canadian dollars (CAD). Current published pricing is available on the landing page; Enterprise is custom-priced.
- Free plan. The Free plan has no cost and does not require payment information.
- Paid plans. Paid plans are billed monthly in advance, on a recurring basis, through Stripe. Payment is due when charged; if a charge fails, we may retry it and, if it continues to fail, downgrade your organization to the Free plan and its limits.
- Plan changes. You can upgrade or downgrade your plan. Upgrades take effect when your payment is processed; downgrades apply when your current billing period ends.
- Taxes. You are responsible for any applicable taxes. Where required, we will add them to your charges.
7. Cancellation & Refunds
Cancellation. You may cancel your subscription at any time from your Stripe billing portal or by contacting sales@tellcolabs.com. Unless we state otherwise, cancellation takes effect at the end of the billing period you have already paid for, and your organization continues on its paid plan until then. After cancellation, your organization is downgraded to the Free plan.
Refunds. Payments for subscription periods are non-refundable, except as required by applicable law. If you believe you have been charged in error, contact hello@tellcolabs.com within 30 days of the charge.
8. Beta Status
Talaria is a young service. Features may change, be renamed, or be withdrawn as the product evolves. We will make reasonable efforts to keep the service available, but the service is provided on an “as is” and “as available” basis, and we do not guarantee specific availability or uptime unless a paid plan or written order expressly promises otherwise.
9. Intellectual Property
Our IP. Talaria’s software, interface, and branding are owned by Tellco Labs or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms.
Your IP. You retain all rights to the content you send to the service and the outputs you receive. You grant us the limited rights needed to operate the service — for example, to transmit your requests to the model providers you use and to store usage records as described in our Privacy Policy.
10. Disclaimers & Liability
No warranties. To the maximum extent permitted by law, the service is provided “as is” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Model outputs are generated by third-party models and may be inaccurate, incomplete, or unsuitable for your purpose — you are responsible for reviewing outputs before relying on them.
Limitation of liability. To the maximum extent permitted by law, Tellco Labs’ total liability arising out of or related to these Terms or your use of the service will not exceed the amounts you paid for the service in the three (3) months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
11. Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access for breach of these Terms, for conduct that threatens the service or other customers, or as required by law. On termination, your right to use the service ends, and we may delete your account data in accordance with our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the effective date above. Your continued use of the service after the updated Terms are posted means you accept the changes. If you do not agree, you should stop using the service before the changes take effect.
13. Governing Law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any disputes will be resolved in the courts of British Columbia, Canada.
